These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Axxa Media, LLC ("Axxa Media," "we," "us," or "our"), governing your access to and use of the TasteScribe AI mobile application, associated web portals, APIs, and related culinary services (collectively, the "Service").

By downloading, installing, accessing, or using TasteScribe AI, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease accessing and uninstall the application.

You must be at least 13 years of age (or the minimum legal age required in your jurisdiction to consent to the processing of your personal data) to use TasteScribe AI.

If you are between the ages of 13 and the age of legal majority in your place of residence (typically 18), you represent and warrant that you possess the consent and active supervision of your parent or legal guardian, who agrees to be bound by these Terms on your behalf. Any use or access to the Service by anyone under 13 is strictly unauthorized and a violation of these Terms.

Access to certain features of TasteScribe AI—including the personal Recipe Vault, cloud synchronization, community publishing, and subscription management—requires creating an account. We use third-party authentication and identity management services to help secure user accounts, verify identities, and manage authenticated sessions.

A. Accurate Information Requirements:
When creating an account, you represent and warrant that all registration information you provide is true, accurate, current, and complete. You agree to maintain and promptly update your profile information to ensure it remains accurate and complete. Submitting false, fictitious, or misleading information constitutes a material breach of these Terms.

B. Responsibility for Credentials & Access:
You are responsible for safeguarding the secrecy and confidentiality of your login credentials, passwords, session tokens, and access devices. You agree not to disclose your credentials to any third party. Subject to the company-cause exceptions below, you are responsible for all acts, omissions, and activities conducted under your account.

C. Account Sharing & Transfer Restrictions:
Your account and subscription entitlements are personal to you and strictly non-transferable. You may not share, sell, rent, lease, sublicense, assign, or transfer your account credentials or paid service tiers to any other individual or entity.

D. Unauthorized Access Reporting & Support Procedures:
You must notify Axxa Media immediately at [email protected] upon discovering or suspecting any unauthorized use, credential compromise, or security incident involving your account. Upon receiving your report, our customer support team will initiate security containment procedures, including terminating active compromised sessions, invalidating compromised authentication tokens, and assisting you with verified identity recovery.

E. Exceptions to User Responsibility:
You shall NOT be held responsible for unauthorized account activities or security breaches that directly result from Axxa Media's failure to maintain reasonable industry-standard administrative, physical, or technical safeguards, from platform-level system vulnerabilities within our control, or from the gross negligence or willful misconduct of Axxa Media or its authorized service providers.

All intellectual property rights in TasteScribe AI—including but not limited to the software code, user interface designs, visual artwork, proprietary algorithms, optical character recognition pipelines, databases, and trademarks—are the exclusive property of Axxa Media, LLC or its licensors.

Subject to your continuous compliance with these Terms, Axxa Media grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run TasteScribe AI on your compatible personal devices for personal, non-commercial culinary use.

TasteScribe AI incorporates multimodal recognition systems, machine learning models, and automated analysis via third-party AI technology services and external processing infrastructure to assist users in digitizing handwritten recipe cards, printed cookbooks, family manuscripts, and culinary URLs into structured ingredients and cooking instructions.

A. Probabilistic Nature of Machine Learning & OCR:
Automated optical character recognition and natural language processing are inherently probabilistic technologies. Faded ink, cursive handwriting, stained recipe cards, atypical typography, and physical document degradation can cause transcription errors, omitted ingredients, or altered measurements (such as mistaking teaspoons for tablespoons or fractional quantities).

B. Evolution of AI Technologies & Providers:
Axxa Media utilizes third-party AI technology services and external processing infrastructure to power generative recipe creation, ingredient substitutions, and text recognition. Axxa Media does not operate exclusively with any single artificial intelligence provider; technologies, models, and external processing infrastructure may change, be upgraded, or transition over time to enhance performance, reliability, and security.

C. Verification Mandate:
AI-assisted recipe creations, cooking procedures, and ingredient substitutions are algorithmic suggestions that must always be evaluated using human culinary judgment. You bear sole responsibility for independently verifying transcribed measurements, cooking times, temperatures, and ingredient lists before beginning food preparation.

READ THIS SECTION CAREFULLY. IT GOVERNS YOUR LEGAL HEALTH AND SAFETY RESPONSIBILITIES.

TasteScribe AI is a digital kitchen companion and culinary archival tool; it is NOT a registered dietitian, certified clinical nutritionist, toxicologist, or medical practitioner.

A. Food Preparation Safety & Kitchen Hygiene:
You are exclusively responsible for following recognized food safety protocols (such as guidelines established by the United States Department of Agriculture [USDA] and the Food and Drug Administration [FDA]). You are solely responsible for practicing safe kitchen hygiene, knife handling, appliance safety, and proper raw food sanitation to prevent microbiological proliferation and foodborne illnesses (such as Salmonella, Escherichia coli, Listeria monocytogenes, and Campylobacter).

B. Mandatory Internal Cooking Temperatures: You must verify that all meats, poultry, seafood, and eggs reach safe minimum internal cooking temperatures established by USDA FSIS guidelines using a calibrated food thermometer:

• Poultry (whole, ground, breasts, thighs, wings, and stuffing): 165°F (74°C);
• Ground Meats (beef, pork, lamb, veal): 160°F (71°C);
• Fresh Beef, Pork, Lamb, and Veal Steaks, Chops, and Roasts: 145°F (63°C) with a mandatory three (3) minute resting period;
• Fish and Shellfish: 145°F (63°C);
• Reheating Leftovers: 165°F (74°C). Never consume raw, unpasteurized, or spoiled food items without understanding the inherent biological hazards.

C. Food Allergens & Undeclared Cross-Contamination:
The application cannot detect or guarantee the presence or absence of allergens in any ingredient or recipe. Automated models cannot detect physical cross-contamination occurring during manufacturing, packaging, or kitchen preparation. Packaged ingredients often contain major food allergens (including milk, eggs, peanuts, tree nuts, fish, crustacean shellfish, wheat, soy, and sesame). Users managing food allergies, celiac disease, or specific dietary health conditions must independently inspect manufacturer package labels and physical ingredients.

D. Nutritional Estimations & Dietary Alterations:
All caloric totals, macronutrient splits (protein, carbohydrates, dietary fat), vitamin values, and "Healthier Alternatives" (e.g., Low Carb, Keto, Low Sodium, High Protein) are mathematical estimates derived from public ingredient reference databases. They do not account for portion variances, cooking fat absorption, or individual metabolic differences. They do NOT constitute clinical nutrition advice and must NEVER be used for medical management or diabetic insulin dosing.

E. Ingredient Substitutions:
Algorithmic substitution suggestions are advisory culinary ideas. Substitutions can alter moisture, cooking time, chemical leavening reactions, or texture, and may introduce allergens not present in the original recipe. Users must evaluate all ingredient substitutions before cooking.

You retain full intellectual property ownership in any original culinary text, photographs, handwritten notes, and family stories that you submit, upload, or store within TasteScribe AI ("User Content").

A. License Grant to Axxa Media:
By uploading User Content to the Service, you grant Axxa Media a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, format, translate, and transmit your User Content solely to the extent necessary to operate, maintain, back up, and provide the Service to you.

B. Recipe Hub & Public Publishing:
If you elect to publish a recipe to the public Recipe Hub or creator channels, you additionally grant other TasteScribe AI users a non-exclusive license to view, bookmark, cook, and review your published recipe for personal use.

C. Contributor Warranty & Copyright Responsibility:
You represent and warrant that you own or possess all necessary intellectual property rights, licenses, and permissions to submit and publish your User Content, and that your User Content does not infringe, misappropriate, or violate any third-party copyright, trademark, trade secret, or privacy right. You agree to defend and indemnify Axxa Media against any third-party intellectual property infringement claims arising from your User Content.

Pantry shelf-life indicators, expiration alerts, and smart grocery planning tools are organizational utilities. They provide generalized shelf-life guidance but do not monitor the actual biological freshness, storage conditions, or safety of physical items in your home. You must visually inspect and smell all ingredients before consumption.

TasteScribe AI may feature optional grocery shopping integrations or affiliate referral links with third-party grocers and delivery services. Axxa Media may receive an affiliate commission if you purchase products through these links, at no extra cost to you. Axxa Media is not responsible for the quality, pricing, inventory availability, fulfillment, or delivery of items fulfilled by third-party retailers.

TasteScribe AI offers both a Free ad-supported tier (with rewarded ad scan credits) and paid auto-renewing Premium subscriptions. Premium features include unlimited Recipe Vault capacity, unrestricted OCR manuscript digitizing, expanded nutritional intelligence, and complete ad removal.

In-App Billing:
All in-app purchases, monthly subscriptions, and annual subscriptions are processed through the Apple App Store or Google Play Store, managed via third-party subscription management services. We do not store or process your credit card numbers.

Cancellations & Refunds:
You may cancel auto-renewal at any time through your Apple ID or Google Play account settings. All refund requests are governed exclusively by the policies of Apple Inc. or Google LLC; Axxa Media has no technical authority to grant or process direct refunds for purchases made through third-party app stores.

When using TasteScribe AI, you agree not to:

1. Reverse engineer, decompile, disassemble, or extract source code, proprietary algorithms, or internal prompts from the Service.
2. Publish or share recipes containing dangerous, non-food, poisonous, or illicit substances.
3. Upload commercial copyrighted cookbooks in bulk without authorization.
4. Harass, defame, abuse, or post hate speech in public Recipe Hub comments or creator profiles.
5. Deploy automated scrapers, bots, crawlers, or load-testing scripts against our backend infrastructure.
6. Circumvent, disable, or tamper with any digital rights management, security token, or billing verification system.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, TASTESCRIBE AI AND ALL ASSOCIATED SERVICES, FEATURES, OCR TRANSCRIPTIONS, NUTRITION ESTIMATIONS, AND RECIPE OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, STATUTORY, OR IMPLIED.

AXXA MEDIA, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

1. THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
2. DEFECTS OR OCR INACCURACIES WILL BE CORRECTED;
3. RECIPES, COOKING TIMES, TEMPERATURES, OR NUTRITION ESTIMATES GENERATED OR TRANSCRIBED BY THE SERVICE ARE ACCURATE, COMPLETE, OR SAFE FOR YOUR SPECIFIC DIETARY OR HEALTH REQUIREMENTS; OR
4. THE SERVICE WILL BE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

SERVICE INTERRUPTIONS & INDEPENDENT BACKUPS:
The Service may be subject to limitations, delays, maintenance outages, and other problems inherent in the use of the internet, cloud computing, and mobile communications. Axxa Media is not responsible for any delays, delivery failures, or data loss resulting from such problems. You are strongly advised to maintain independent physical or digital backups of your recipes and family culinary manuscripts.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXXA MEDIA, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, INABILITY TO USE, OR RELIANCE UPON OUR APPLICATIONS, SERVICES, ARTIFICIAL INTELLIGENCE FEATURES, RECOMMENDATIONS, ANALYSES, OR GENERATED CONTENT.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM INACCURATE OR INCOMPLETE INFORMATION, SERVICE INTERRUPTIONS, LOSS OF DATA, LOSS OF PROFITS, OR THIRD-PARTY CONTENT, TO THE EXTENT SUCH EXCLUSIONS ARE PERMITTED BY APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Axxa Media, LLC, its affiliates, managers, members, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or related to:

1. Your access to or use of TasteScribe AI;
2. Any User Content, culinary manuscripts, recipes, or photographs you upload, post, or publish;
3. Your violation or alleged breach of any provision of these Terms or Community Guidelines;
4. Your violation of any third-party right, including any intellectual property, copyright, trademark, privacy, or publicity right;
5. Any adverse health effect, allergic reaction, or food safety incident resulting from food prepared, served, or consumed by you or your guests in connection with recipes generated, modified, or digitized through the Service; or
6. Your violation of any applicable federal, state, local, or international law or food safety regulation.

Axxa Media reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with Axxa Media in asserting any available defenses.

DISPUTE RESOLUTION AND ARBITRATION

Informal Dispute Resolution:
Before initiating arbitration or small claims proceedings, users are provided a reasonable opportunity to contact Axxa Media at [email protected] to seek an informal resolution. Axxa Media will engage in good faith to resolve concerns promptly. This informal dispute resolution procedure does not impose a mandatory waiting period, nor does it suspend, shorten, or conflict with any applicable statutory deadline or mandatory consumer right.

To the extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules.

Arbitration shall be conducted remotely, by telephone, through written submissions, or at a location determined in accordance with the applicable AAA rules and consumer protections.

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law or mandatory consumer protection laws require otherwise.

Nothing in this provision shall prevent either party from pursuing claims in small claims court where permitted by applicable law or exercising rights that cannot lawfully be waived.
